1. Agreement and eligibility
By registering, accessing, purchasing, or using the service, you agree to these terms and the Privacy Policy. You must have legal capacity and authority to act for the business you register. If you do not agree, do not use the service.
2. Accounts and seats
You must provide accurate registration information, keep credentials confidential, maintain current contact details, and promptly report unauthorized access. Enterprise owners control agent accounts and seat assignments. You are responsible for activity performed through your accounts unless caused by a verified platform security failure.
3. Service, trials, and subscriptions
Features, usage limits, seat counts, trial periods, and service duration follow the plan shown at purchase or in a written order. A trial may be limited or end automatically. Continued access after expiry requires an active plan. We may correct clear pricing or configuration errors before fulfilling an affected order.
4. Acceptable use
You may use the service only for lawful customer service and business operations. You must not attack or bypass security, access another tenant, distribute malware, send unlawful or unsolicited communications, impersonate others, infringe rights, abuse channels, scrape the service, or use it to facilitate fraud or illegal activity.
5. Customer data and compliance
You retain rights in data you lawfully submit. You grant Sparrow the limited right to host, process, transmit, back up, and display that data only as needed to provide and secure the service. You are responsible for having a lawful basis, giving required notices, honoring data rights, configuring retention, and ensuring that your agents use customer data appropriately.
6. AI features
AI features provide suggestions, not guaranteed facts, legal advice, financial advice, or binding commitments. You must review outputs before sending or relying on them. You remain responsible for your knowledge sources, prompts, final replies, automated rules, and business decisions.
7. Third-party channels and software
Email, Telegram, payment networks, AI providers, CDN services, object storage, and other connected services are governed by their own terms and availability. You authorize the connections you configure. Sparrow is not responsible for a third party's independent service failure, policy change, account restriction, or data practice.
8. Payment, renewal, and refunds
Charges, currency, payment method, taxes, activation conditions, renewal, and refund eligibility follow the checkout page, plan description, and written order applicable to the purchase. Blockchain and digital payment transactions may be irreversible. Do not pay to an address or account that is not displayed inside an authenticated Sparrow payment flow.
9. Intellectual property
Sparrow and its licensors retain rights in the software, interface, branding, documentation, and service technology. These terms grant a limited, non-exclusive, non-transferable right to use the service during an active plan. They do not permit resale, source extraction, unauthorized copying, or creation of a competing service from protected materials.
10. Availability and changes
We work to keep the service secure and available, but maintenance, network conditions, attacks, provider failures, and force majeure can interrupt access. Unless a written agreement states otherwise, no specific uptime or response time is guaranteed. We may change features when needed for security, law, compatibility, or product improvement without materially removing paid core functionality during the current term.
11. Suspension and termination
We may restrict or suspend access to address security risk, illegal use, non-payment, abuse, sanctions, or a material breach. Where reasonably possible, we will provide notice and an opportunity to remedy. You may stop using the service at any time. Data access after termination follows the plan, retention settings, legal obligations, and any written export arrangement.
12. Disclaimers and liability
To the extent permitted by law, the service is provided as available. Sparrow is not liable for indirect or consequential loss, lost profit, lost opportunity, or loss caused by customer configuration, unlawful content, third-party services, unsupported modifications, or failure to protect credentials. Any mandatory liability that cannot be excluded remains unaffected. Additional limits may be stated in a signed agreement.
13. Governing terms, updates, and contact
A signed order or master agreement takes priority if it conflicts with these online terms. Governing law and dispute arrangements follow that agreement and any mandatory law. If no separate agreement exists, applicable rules follow the registered location of the service operator. We may update these terms and will publish the new effective date.
